Terms and Conditions of Use and Sale

1. Introduction

These Terms and Conditions of Use and Sale (the “Terms”) govern access to and use of the website available at novapart.co and any associated subdomains, applications or services (collectively, the “Platform”), as well as the purchase of products offered through the Platform. By accessing, browsing or using the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms and by any other policies or notices referenced herein, including the Privacy Policy and Cookie Policy.

If you do not agree with any provision of these Terms, you must refrain from using the Platform and from placing any orders through it. These Terms constitute a legally binding agreement between you and the entity operating the Platform under the NOVAPART brand (“Novapart”, “we”, “us”, or “our”).

2. Definitions

For purposes of these Terms:

  • “Novapart” means the company that owns and operates the Platform and supplies products to customers.
  • “User” or “you” means any person or legal entity that accesses, browses, registers on or uses the Platform in any manner.
  • “Customer” means any User who places an order to purchase products through the Platform.
  • “Products” means the electronic components, related accessories and any other goods offered for sale on the Platform from time to time.
  • “Business Day” means any day other than Saturdays, Sundays or public holidays in the country where Novapart is established.

3. Scope and Eligibility

These Terms apply to all Users and to any use of the Platform, whether or not the User creates an account or places an order. By using the Platform, you represent and warrant that:

  • You are at least the legal age of majority in your jurisdiction or have obtained valid authorization from your parent or legal guardian.
  • If you are acting on behalf of a company or other legal entity, you have the authority to bind such entity to these Terms.
  • You will use the Platform only in accordance with applicable laws, regulations and these Terms.

Novapart reserves the right to refuse access to the Platform or to cancel orders at its discretion when there is a justified reason, including suspected fraud, breach of these Terms or unlawful use of the services.

4. Account Registration and Security

To access certain features of the Platform, including order placement and order history, you may be required to register and create a user account. When creating an account, you agree to:

  • Provide true, accurate, current and complete information as requested in the registration form.
  • Maintain and promptly update your information to keep it accurate and complete.
  • Keep your login credentials confidential and not share them with any third party.
  • Immediately notify Novapart of any unauthorized use of your account, suspected security breach or loss of credentials.

You are fully responsible for all activities conducted under your account, whether or not you authorized such activities. Novapart may suspend or terminate your account if it reasonably believes that you have violated these Terms or applicable law, or if required by competent authorities.

5. Use of the Platform

You agree to use the Platform solely for lawful purposes and in a manner that does not infringe the rights of Novapart or any third party. In particular, you must not:

  • Use the Platform in any way that could damage, disable, overburden or impair its normal operation.
  • Introduce or transmit viruses, worms, malware or any other harmful code.
  • Attempt to gain unauthorized access to any part of the Platform, to other accounts, or to any Novapart systems or networks.
  • Use automated systems (including bots, crawlers or scrapers) to access the Platform without prior written consent from Novapart.
  • Use the Platform to engage in fraudulent, misleading or otherwise unlawful activities.

Novapart reserves the right to monitor use of the Platform, to investigate any suspected violation and to take appropriate legal and technical measures, including restricting or terminating access, when reasonably necessary to protect its legitimate interests or those of other Users.

6. Product Information

Novapart makes reasonable efforts to ensure that the information relating to Products (including descriptions, specifications, technical data, certifications, pricing and availability) is accurate and up to date. However, you acknowledge that:

  • Product images are illustrative and may differ slightly from the actual item, particularly in color, packaging or minor details.
  • Technical specifications, manufacturer references and availability may be subject to change without prior notice.
  • Typographical errors, inaccuracies or omissions may occasionally occur, and Novapart reserves the right to correct them at any time, including after an order has been submitted, provided that this is permitted under applicable law.

If a material error affects an order already placed (for example, a substantial pricing error or unavailability of a key component), Novapart will promptly inform the Customer and offer either cancellation and refund or an alternative solution where available.

7. Ordering Process and Contract Formation

To place an order, the Customer must follow the steps indicated on the Platform and confirm the order through the applicable checkout process. By clicking the button to submit an order, the Customer is making a binding offer to purchase the selected Products under these Terms.

Order confirmation may be provided by email or through the Platform interface and will typically include an order number, a summary of Products, quantities, prices and applicable taxes and shipping costs. Such confirmation acknowledges receipt of the order but does not necessarily constitute acceptance unless expressly stated.

The contract for the sale of Products shall be deemed concluded when Novapart explicitly accepts the order (for instance, by sending a separate email confirming dispatch) or when the Products are shipped to the Customer, whichever occurs first, except where mandatory consumer law provides otherwise. Novapart may refuse or cancel an order prior to shipment for justified reasons, including but not limited to stock unavailability, suspected fraud, pricing errors or failure to obtain payment authorization.

8. Prices, Taxes and Fees

All prices displayed on the Platform are indicated in the currency specified and, unless otherwise expressly stated, are exclusive of applicable taxes, duties, tariffs and shipping or handling charges. Any such additional amounts will be clearly itemized during the checkout process before you confirm your order.

Novapart may change Product prices at any time, but such changes will not affect orders that have already been accepted. In jurisdictions where value-added tax (VAT) or similar sales tax applies, Novapart will apply the relevant rate based on the Customer’s billing and shipping details and in compliance with applicable tax regulations.

Any customs duties, import taxes or brokerage fees arising from deliveries to countries outside the origin jurisdiction are the sole responsibility of the Customer, who is also responsible for ensuring that Products may be lawfully imported into the destination country.

9. Payment Terms

The Customer agrees to pay the total amount due for each order using one of the payment methods offered on the Platform (such as credit or debit card, bank transfer, or other electronic payment services). By providing payment information, the Customer warrants that:

  • The method of payment belongs to the Customer or that the Customer is duly authorized to use it.
  • Sufficient funds or credit are available to cover the full amount of the order.

Payments may be processed through third-party payment service providers, and the Customer may be subject to their terms and conditions in addition to these Terms. Novapart uses industry-standard technical and organizational measures to protect payment data; however, no method of transmission or storage is completely secure, and the Customer acknowledges and accepts this inherent risk.

Novapart reserves the right to delay or cancel an order if payment is not successfully completed or if fraud or unauthorized use is suspected.

10. Shipping, Delivery and Risk of Loss

Available shipping options, estimated delivery times and associated costs will be shown during the checkout process and may vary based on destination, weight, size and nature of the Products. Delivery times are estimates only and are not guaranteed, although Novapart uses reasonable efforts to meet indicated timeframes.

Unless otherwise required by mandatory law, risk of loss or damage to the Products passes to the Customer upon delivery to the carrier or shipping service, without prejudice to any claims the Customer may have against that carrier. The Customer is responsible for inspecting the Products upon delivery and promptly notifying Novapart and the carrier of any visible damage, shortage or discrepancy, in accordance with the procedure and time limits set out in the Platform or in these Terms.

Failure to receive the Products due to the Customer’s absence, refusal or incorrect address may result in additional storage or re-delivery fees, which may be charged to the Customer.

11. Returns, Cancellations and Refunds

Novapart seeks to ensure high levels of quality and reliability; however, returns or cancellations may occur under certain circumstances. The specific conditions, procedures and timeframes for returns and cancellations (including any statutory withdrawal rights for consumers) will be described in a dedicated Returns and Refunds Policy, which forms part of these Terms.

Generally, and without prejudice to mandatory consumer rights:

  • Products must be returned in their original condition, with all accessories, documentation and packaging, unless a defect prevents this.
  • The Customer should obtain prior authorization for returns through the Platform’s support channels.
  • Refunds, if applicable, will be processed using the same payment method used for the original transaction, unless otherwise agreed.

Certain Products, such as custom-made items or those that have been specifically modified for the Customer, may not be eligible for return except in the event of non-conformity or defect as required by applicable law.

12. Conformity, Warranty and Defects

Novapart will supply Products that conform substantially to the description and specifications published on the Platform and to any mandatory legal requirements. If a Product is defective, damaged or does not conform to the contract, the Customer must notify Novapart within a reasonable period after discovery, providing appropriate details and evidence.

Where required by applicable law, Customers may be entitled to statutory warranty rights, including repair, replacement, price reduction or contract termination, depending on the nature and seriousness of the lack of conformity. These statutory rights exist in addition to, and not in substitution for, any commercial warranty voluntarily offered by the manufacturer or by Novapart.

Any commercial warranty, if provided, will be subject to the terms and exclusions set out in the relevant documentation accompanying the Product or published on the Platform.

13. Intellectual and Industrial Property

All intellectual and industrial property rights relating to the Platform and its contents—including, without limitation, trademarks, trade names, logos, domain names, text, graphics, designs, interfaces, software, source code, databases, technical documentation and any other materials—are owned by Novapart or are used under license from their respective owners.

Except as expressly permitted by law or by prior written consent from Novapart, you must not:

  • Reproduce, distribute, publicly communicate, transform, decompile, reverse engineer or otherwise exploit the Platform or its contents.
  • Remove, alter or obscure any copyright, trademark or other proprietary notices.
  • Use Novapart’s trademarks or trade dress in any way that may create confusion about the origin of products or services or damage Novapart’s reputation.

Nothing in these Terms shall be construed as granting you any license or right to use any intellectual or industrial property of Novapart or third parties, other than as strictly necessary for the proper use of the Platform in accordance with these Terms.

14. Data Protection and Privacy (GDPR)

Novapart processes personal data in compliance with applicable data protection law, including, where relevant, the EU General Data Protection Regulation (GDPR). Details on how personal data is collected, used, disclosed, retained and protected are provided in the Privacy Policy, which forms an integral part of these Terms.

As a data subject, you may have rights such as access, rectification, erasure, restriction of processing, data portability and objection, as well as the right to lodge a complaint with a competent supervisory authority. Your interactions with third-party services are solely between you and the relevant third party.

17. Compliance, Export Controls and Sanctions

By purchasing Products through the Platform, you represent and warrant that you will comply with all applicable laws and regulations, including but not limited to those relating to export controls, sanctions, customs and import rules. You must not use, sell, resell, export, re-export, transfer or otherwise dispose of any Product in violation of such laws or regulations.

Novapart reserves the right to refuse, suspend or cancel any order or delivery if it reasonably believes that fulfilling it would violate export control, sanctions or similar legal restrictions, or if required by any governmental authority or applicable law.

18. Limitation of Liability

To the fullest extent permitted by applicable law, Novapart shall not be liable for:

  • Indirect, incidental, consequential, punitive or special damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunity or interruption of operations.
  • Damages arising from incompatibility between the Products and the Customer’s systems, improper installation, misuse, modification or unauthorized repair of the Products.
  • Damages resulting from temporary unavailability or malfunction of the Platform due to technical issues, maintenance, force majeure or causes beyond Novapart’s reasonable control.

Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited by mandatory law, including liability for death or personal injury caused by negligence or for fraud or fraudulent misrepresentation. In jurisdictions that allow limitations of liability, and unless otherwise mandated, Novapart’s aggregate liability arising out of or in connection with any order shall be limited to the total amount paid by the Customer for the Products giving rise to the claim.

19. Indemnification

You agree to indemnify, defend and hold harmless Novapart, its affiliates, directors, officers, employees and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your breach of these Terms or of any applicable law or regulation.
  • Your misuse of the Platform or of the Products.
  • Any infringement of third-party rights (including intellectual property rights) arising from your use of the Platform or your content or activities in connection therewith.

This indemnification obligation shall survive the termination of these Terms and your use of the Platform.

20. Force Majeure

Novapart shall not be liable for any delay or failure to perform its obligations when such delay or failure results from events or circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, strikes, epidemics, pandemics, governmental actions, failures of telecommunications or energy networks, or disruptions affecting carriers or suppliers (“Force Majeure Events”).

In case of a Force Majeure Event, the affected obligations will be suspended for the duration of the event, and Novapart will make reasonable efforts to mitigate its effects and to resume performance as soon as reasonably possible.

21. Changes to the Terms

Novapart may revise or update these Terms from time to time to reflect changes in legal requirements, business practices, technical developments or the services offered through the Platform. When changes are material, Novapart will take reasonable steps to notify Users, such as posting a notice on the Platform or sending an email, where appropriate.

The updated Terms will take effect from the date indicated at the beginning of the document and will apply to all subsequent use of the Platform and to any new orders placed thereafter. Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance of the revised version.

22. Term and Termination

These Terms apply from the moment you first access or use the Platform and will remain in effect for as long as you continue to use it or maintain an account, without prejudice to provisions that, by their nature, should survive termination (such as limitations of liability, indemnities and governing law clauses).

Novapart may suspend or terminate your access to the Platform or close your account at any time, with or without notice, if it reasonably believes that you have violated these Terms, engaged in fraudulent or unlawful activities, or if such action is required by law or by a competent authority. You may close your account at any time by following the procedures indicated on the Platform or by contacting Novapart.

23. Governing Law and Jurisdiction

Unless otherwise required by mandatory consumer protection rules, these Terms, as well as any dispute or claim arising out of or in connection with them, their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the jurisdiction in which Novapart has its registered office, without giving effect to its conflict-of-laws principles.

The parties submit to the jurisdiction of the competent courts located in that jurisdiction, without prejudice to any mandatory provisions that grant consumers the right to bring claims before the courts of their place of residence.

24. Severability

If any provision of these Terms is found by a competent court or authority to be invalid, illegal or unenforceable, such provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect. In such case, the invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely reflects the original intent of the parties.

25. No Waiver

The failure or delay by Novapart to exercise any right or remedy under these Terms shall not constitute a waiver of such right or remedy, nor shall any single or partial exercise preclude any other or further exercise of the same or of any other right or remedy.

26. Entire Agreement

These Terms, together with any additional policies or terms expressly referenced herein (including the Privacy Policy, Cookie Policy and Returns and Refunds Policy), constitute the entire agreement between you and Novapart with respect to the subject matter hereof and supersede any prior understandings, agreements or representations, whether written or oral, relating to the same subject.
